End User License Agreement

Important Notice — Please Read Carefully

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and CoreUncap Inc. ("CoreUncap", "we", "us", or "our") for the use of the CoreUncap desktop application and any associated software, services, documentation, and updates (collectively, the "Software").

By installing, copying, downloading, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.

1. Grant of License

Subject to your compliance with this EULA and payment of any applicable fees, CoreUncap grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Software on Windows devices that you own or control.
Use the Software solely for your personal, non-commercial performance optimisation purposes.
Access the CoreUncap cloud AI services for the duration of your active subscription or purchased hours.

This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software or any portion thereof.

2. Restrictions

You agree that you will NOT:

Copy, modify, distribute, sell, or lease any part of the Software.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent permitted by applicable law.
Create derivative works based on the Software.
Remove or alter any proprietary notices, labels, or marks on the Software.
Use the Software for any unlawful, abusive, or harmful purpose.
Attempt to circumvent any licensing, authentication, or payment mechanism.
Use automated tools to scrape, spider, or harvest data from CoreUncap servers.
Share your account credentials with third parties or allow others to use your account.
Use the Software to harm, exploit, or interfere with CoreUncap's infrastructure or other users.

3. Ownership and Intellectual Property

The Software is licensed, not sold. CoreUncap retains all right, title, and interest in and to the Software, including all intellectual property rights therein. You acknowledge that no title to the intellectual property in the Software is transferred to you.

The CoreUncap name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CoreUncap Inc. You may not use such marks without prior written permission.

4. AI Engine and Cloud Services

The Software's AI Engine requires an active internet connection and a valid CoreUncap account with sufficient AI hour credits. AI Engine functionality is provided "as a service" and is subject to:

Your purchased plan type and remaining hour balance.
Availability of CoreUncap's cloud infrastructure (99% uptime target, non-guaranteed).
Rate limits and fair-use policies designed to protect all users.

CoreUncap reserves the right to modify, suspend, or discontinue any cloud service feature with reasonable notice. Unused purchased hours at time of discontinuation will be subject to our refund policy.

5. Hardware Telemetry

To provide its AI optimization service, the Software collects and transmits hardware telemetry data to CoreUncap servers. This data includes:

CPU and GPU temperature, clock frequency, and load percentage.
RAM usage and battery status.
Active power profile identifier.

No personal files, documents, browser history, keystrokes, or any other personal data are collected. By using the Software, you consent to this hardware telemetry collection as described in our Privacy Policy.

6. System Requirements and Administrator Privileges

The Software requires Windows 10 (64-bit, version 1903 or later) or Windows 11, and must be run with Administrator privileges to modify Windows power management policies. You acknowledge that:

CoreUncap modifies Windows software power settings only — it does not modify BIOS, UEFI, firmware, or hardware registers.
All modifications are reversible and can be reset via the "Reset Power Plan" function.
You are responsible for ensuring your system meets the minimum requirements.
Running the Software as Administrator is required and expected for the described functionality.

7. Subscriptions, Payments, and Refunds

Paid features of the Software are subject to the pricing and subscription terms on coreuncap.com/plans. Payment processing is handled by Razorpay in compliance with PCI-DSS standards. You agree that:

Subscription fees are charged on a recurring basis unless cancelled.
AI hours are consumed upon use and are non-transferable between accounts.
Refunds are available within 7 days of purchase if fewer than 30 minutes of AI time has been used.
CoreUncap reserves the right to change pricing with 30 days' notice to existing subscribers.
Chargebacks, payment fraud, or abuse may result in immediate account termination without refund.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CoreUncap does not warrant that:

The Software will meet your specific requirements.
The Software will be error-free, uninterrupted, or free from bugs.
Any errors in the Software will be corrected.
The Software will improve gaming performance by any specific measurable amount.

You assume all responsibility and risk for the use of the Software and the suitability of the Software to achieve your intended results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COREUNCAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

CoreUncap's total cumulative liability for any claims arising under this EULA shall not exceed the total amount you paid to CoreUncap in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless CoreUncap Inc., its officers, directors, employees, and agents from any claims, damages, costs, and expenses (including legal fees) arising from: (a) your use of the Software in violation of this EULA; (b) your violation of any applicable law; or (c) your infringement of any third-party rights.

11. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term of this EULA. CoreUncap may also terminate this EULA for any reason with 14 days' notice, with a pro-rata refund of any unused prepaid hours.

Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 3, 8, 9, 10, 12, and 13 survive termination.

12. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts located in India.

13. Entire Agreement and Amendments

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and CoreUncap regarding the Software and supersedes all prior understandings.

CoreUncap may update this EULA from time to time. Continued use of the Software after an updated EULA is posted constitutes acceptance of the new terms. If the changes are material, we will notify you via the app or by email.
